Please read carefully and choose to accept or not accept Baolla Service Terms, especially the terms of exemption or limitation of liability, governing law and dispute resolution. Unless You accept this Baolla Service Terms, You have no right to register, log in or use the services of Baolla. Your registration, login and use will be deemed as acceptance of the Baolla Service Terms and You agree to be bound by the Baolla Service Terms.

The Baolla Service Terms set forth the rights and obligations of Baolla and You with respect to the Baolla Services (the “Services”). This Baolla Service Terms may be updated by Baolla at any time. Once published and publicized, the updated Baolla Service Terms will replace the original terms without prior notice. You may refer to the latest version of the Baolla Service Terms on the Baolla platform. You are also advised to keep abreast of the updated Baolla Service Terms to avoid unnecessary misunderstanding and disputes. After the modification of Baolla Service Terms, if You do not accept the modified terms, please immediately stop using the Services provided by Baolla, and Your continued use of the Services provided by Baolla will be deemed to have accepted the modified Baolla Service Terms.

The ownership and operation rights of the relevant registered user services belong to “Baolla”, Company Number: 3365245 ,with its registered address at Room A03, 11/F, Fullytech Centre, 18 Tak Hoi Street, Tsuen Wan, New Territories, Hong Kong.)The services provided must be implemented in accordance with the service regulations, terms, and operating specifications issued by the company. By using these services, You acknowledge that You have reached an agreement with Baolla and accept all its terms of service.

When You use Baolla’s services, Your personal information that we may need to collect and use includes the following two types:

•  Basic Functionality: To provide You with core services, You must authorize us to collect and use necessary information. Refusal to provide such information will prevent You from registering, logging in, or using our services.

6. Exemption from Liability

•  Third-Party Platforms: Baolla purchases goods from platforms specified by You. Delays, stockouts, or discrepancies on these platforms are beyond our control.
•  After-Sales Issues: We will assist with damaged or defective items, but liability rests with the original seller.
•  Account Security: Baolla is not liable for losses due to Your account disclosure or hacking.

7. Prohibited Activities

You may not use Baolla for:

•  Illegal transactions (e.g., drugs, weapons, counterfeit goods).
•  Fraudulent schemes (e.g., pyramid schemes, money laundering).
•  Infringing intellectual property or privacy rights.

Violations will result in legal action and compensation claims.

8. Liability for Compensation

•  Losses Incurred: You shall indemnify Baolla and its affiliates for direct or indirect losses (e.g., legal fees, reputational damage) caused by Your actions.
•  Third-Party Claims: If Baolla faces claims due to Your conduct, You will bear all associated costs.

9. Governing Law and Jurisdiction

•  Applicable Law: This clause shall be governed by and construed in accordance with the laws of England and Wales.
•  Dispute Resolution: Any dispute arising out of or in connection with this clause shall first be resolved by the parties through amicable negotiation. In the event that no settlement can be reached through negotiation, either party shall be entitled to submit the dispute to the London Court of International Arbitration (LCIA) for arbitration in London in accordance with the LCIA Arbitration Rules in effect at the time of submission. The seat of arbitration shall be London, and the arbitral award shall be final and binding on both parties.
